  • EOHCB: Legislative Role of The National Bargaining Council for Hairdressing, Cosmetology, Beauty, and Skincare Industry (HCSBC)

In terms of labour relations, the National Bargaining Council for Hairdressing, Cosmetology, Beauty, and Skincare Industry (HCSBC) plays a crucial role in mediating between employers and employees, facilitating collective bargaining agreements, and ensuring harmonious workplace relations within the industry. However, it is essential to understand that the HCSSBC is not a legislative body and, therefore, has specific limitations regarding legislative requirements. Let's break down what the HCSBC is not responsible for within the scope of legislative obligations. One of the primary misconceptions about the council is that it has the authority to create laws. In reality, the power to enact legislation lies with Ministers and the Department of Employment and Labour. These bodies follow a formal legislative process, including drafting, debating, and voting on proposed laws. The council can advocate for legislative changes or provide recommendations based on industry insights, but it does not possess the legal mandate to draft or implement laws. While the council plays a significant role in monitoring compliance with collective agreements and mediating disputes, it is responsible for the enforcement of labour laws. For instance, labour inspectors, designated agents, and commissioners are tasked with investigating violations, imposing penalties, and ensuring that employers adhere to statutory requirements. The council may assist by reporting violations or advocating for workers’ rights and have the authority to enforce legal penalties. Interpreting the meaning and application of labour laws is a function reserved for legal professionals such as employers’ organisations, and regulatory authorities. The council can offer guidance and advice based on its understanding of the laws, but its interpretations do not carry legal weight. Employers and employees seeking authoritative interpretations of legislation must consult legal experts. The imposition of statutory sanctions, such as CODIA, UIF, and TAX regulations such as PAYE is outside the jurisdiction of the council. Governmental enforcement bodies are responsible for imposing such sanctions following due process. The council may highlight instances of non-compliance and advocate for corrective measures, but it lacks the authority to levy fines or enforce legal penalties on these requirements. The council is not responsible for enforcing TAX/PAYE, CODIA, or UIF regulations. Its primary role is to facilitate labour agreements and resolve workplace disputes, while these requirements fall under the jurisdiction of those authority bodies. Although the council does not regulate tax, employers retain the right and responsibility to deduct PAYE (Pay As You Earn) taxes from employees' salaries and register staff for tax purposes. This ensures compliance with national tax laws, safeguarding legal and financial accountability for both employers and employees. In summary, while the National Bargaining Council for Hairdressing, Cosmetology, Beauty, and Skincare Industry plays a crucial role in promoting fair labour practices and facilitating collective bargaining, it is not a legislative entity and does not possess legislative powers. Its responsibilities do not include creating, enforcing, or interpreting laws, regulating employment standards, adjudicating legal disputes, or imposing statutory sanctions. Understanding these limitations is crucial for employers, employees, and stakeholders involved in labour relations to navigate the legal landscape effectively and ensure compliance with legislative requirements. By clarifying the boundaries of the council's responsibilities, we can better appreciate its role within the broader framework of labour relations and legislative requirements. • ESP Industry Index - November 2024

Average Spend on Retail: 1. Year-on-Year (YoY): • The average spend on retail products in November demonstrates steady growth over the years, with the current year showing a significant increase compared to prior years. • This growth highlights successful retail strategies such as upselling, bundling products with services, or introducing higher-priced products. 2. Month-on-Month (MoM): • The jump in average retail spend from October to November is more pronounced compared to services. This aligns with the spike in Total Retail Revenue, indicating that November promotions, gifting trends, or bulk purchases drive higher retail spend per client. Combined Observations: 1. November as a Peak Month: • Both services and retail show increased average spend in November, reinforcing its position as a high-revenue month due to a combination of higher client visits and increased spending per client. 2. Retail vs. Service: • The average retail spend grows more substantially than average service spend both YoY and MoM, suggesting that retail contributes disproportionately to revenue growth in November. • Clients appear more inclined to spend on retail products in November, possibly driven by holiday-related factors like gifting and promotions. 3. Revenue Drivers: • Growth in service revenue is supported by both increased client visits and slight increases in average spend per visit. • Retail revenue growth, on the other hand, is more strongly influenced by significant increases in average spend, emphasizing the effectiveness of retail campaigns during November. • milk_shake® URBANA: A Gallery of Inspiration & Imagination from All Things milk_Shake

URBANA: THE WORLD IS HOME THE WORLD AS HOME AT HOME IN THE WORLD   Discover a Gallery of Inspiration & Creative Magic of Texture, Colour & Techniques   Joyful, free and wandering - that’s the spirit of URBANA, the new milk shake ® inspirational gallery.   Your clients deserve the very best of your artistry. Your trusted milk shake ® products can bring all your visions to life.   Explore images of an adventure oozing excitement through every look, glossy textures, vivid and bright colours, soft and elegant haircuts. If you wish to turn things around and you love trends, if simplicity is part of you, milk_shake ® encourages you to get lost in a nonchalant beauty that embraces life, no matter where you are in the world.   Wandering among languages URBANA draws inspiration from a free, globe-trotting and confident lifestyle, expressing itself in cities. We collected some books and films to whet your appetite about how this lifestyle developed and spread. Dive into this universe and set sail following this map to discover a world of freedom, wide-open spaces and imagination. MARIT An iconic look, the style and the concepts of URBANA encapsulated in a RE-NATURAL technique evoking asymmetry.   Simple, yet impactful: the challenge is to make it wearable and accessible, highlighting its elegance through consistent and harmonious colour shades, lightening levels, blending patterns.   An apparently edgy look like this also echoes the same concepts we share in our education trainings: the right know-how and a certain sense of style as a goal make it possible to achieve extraordinary effects!   This soft and contemporary medium bob haircut reveals a perfect synergy among all the milk_shake ® colour ranges. NOLA Copper and pink blend sinuously in this colour block technique, perfectly embracing the RE-NATURAL philosophy.   A vibrant, shiny, deep rich colour achieved using the copper shades of milk_shake ® beyond light, our ammonia-free permanent colouring range. Delicate contrasts in line with the ‘right edgy’ concept that characterises URBANA, natural and accessible looks: each look features a special twist, a detail making it unique and original.   How many women dream of a makeover without necessarily compromising on the charm of long hair? Nola features a technique that gives movement and volume to the hair without too much visible layering: a haircut to enjoy and wear anywhere! PIEN An underlying theme in URBANA’s world of colour, the ‘right edgy’, is interpreted through a new method of colour blocking in the hair. This technique is back in trend these days and has been reinterpreted and made more accessible through the fresh and light taste of milk_shake ®.   For Pien, we have experimented with formulas inspired by this season’s Beauty Insight colour palette, smokey lavender and soft pink: pastel colours that maintain a vivid and bright identity. Everything is placed asymmetrically, yet stylishly.   A lob haircut with fringe is the perfect canvas on which to perform this technique! CHARLOTTE A trendy look to enhance curly and wavy hair! Our milk_shake ® approach to curly haircut provides volume and airiness, whilst customising the shape to create expansion and slender the neck.   The colour adds light to the inner areas near the hairline, close to the face, and gently lifts the hair. The goal of the toning service is to recreate a brown tone-on-tone effect, to allow for contrasts that are not too noticeable.   The milk_shake ® curl passion product range celebrates Charlotte’s curls through styling. SARAH Sarah features a haircut that can be described as somewhere between a bowl cut, a pixie and a bob. A tailor-made length to suit multiple textures.   The haircut combines both blunt cut and razor techniques, resulting in an underground yet sophisticated effect, perfectly matching the URBANA style.   Colour and shape blend in harmony through delicate contrasts between lavender and lilac shades, positioned in diffuse blocks through the movement of the haircut.   The texture is messy, yet elegant and structured. MARGARITA Freedom and wind in the hair: two of the fundamental concepts guiding us in the design of URBANA’s looks, here embodied in an extreme curl obtained with a customised approach.   The shape, built up little by little using a tailoring method, is achieved through a cut shaping the hair and carefully adapting to the features of Margarita’s face - a fundamental principle when dealing with curly hair.   The colour is applied in small blocks and spreads naturally, in synergy with curly hair texture: lightened areas, achieved with a gentle method, create rays of natural light.   Free texture, defined and radiant curly hair! MARINA A haircut with a ‘70s twist, perfectly embodying its vibe! Positivity, energy and freshness are the key words associated to this look, which features a strong customisation and workability.   Thinning scissors, razor and blunt cut techniques in combination enhance texture and allow playing with the hair to achieve the desired effects.   The shape matches the colour, which is positioned in asymmetrical blocks but still wearable and soft: milk_shake ® beyond light, our ammonia-free permanent colouring range provides chromatic results recalling natural colours to all intents and purposes. Styling means playing with shape: for example, a voluminous, messy look is ideal for Marina! JERRY A British-inspired bob haircut that is a timeless favourite. The matching colour choice makes this ‘right edgy’ soft and wearable: the fringe opens up, widening towards the sideburn to emphasise facial features. In the nape area, the hairline can be daringly concealed to make the neck look slimmer, or it can be left soft and supple. Just one watchword: customisation!   The colour combines cold and warm shades, matching a wisteria shade with a creamy saffron blonde, creating bright and delicate hues. Either traditionally smooth or slightly wavy, it will look perfect every time! NINA Not just cold blondes: an increasingly popular trend points to neutral blond shades, not cold nor warm. Nina features a technique that places light and shadow in a unique way, ideal for those who want an alternative effect to classic lightening while maintaining a natural and stylish result.   The result is a highly sought-after buttery blond, in contrast to a caffelatte colour: a great way to regenerate long-term lifted hair and lived-in or oxidised blond hair.   The light and airy shape creates a windswept effect, further emphasised by an unusual tool for long haircuts.   Contact milk_shake® on: Email : marku@z-one.co.za  or georg@z-one.co.za www.z-oneconcept.com/en   | Facebook   | Twitter   | Instagram

  • EOHCB: The South Africa Companies Act - A Comprehensive Guide To Business Owners

In the dynamic landscape of South African business, understanding and complying with the Companies Act 71 of 2008 is crucial for entrepreneurs and established business owners alike. This landmark legislation, which came into effect in 2011, revolutionised the corporate landscape, introducing significant changes aimed at fostering entrepreneurship, enhancing corporate governance, and aligning South African business practices with international standards. The Evolution of Company Structures One of the most notable features of the Act is the introduction of new company types. Alongside the familiar private (Pty Ltd) and public (Ltd) companies, the Act brought in personal liability companies (Inc), state-owned companies (SOC Ltd), and non-profit companies (NPC). This diversification allows for greater flexibility in business structuring, catering to a wide range of organisational needs and objectives. For instance, private companies, limited to 50 shareholders, offer a balance of limited liability and relative ease of management, making them popular among small to medium-sized enterprises. Public companies, on the other hand, can have unlimited shareholders and are eligible for stock exchange listing, providing access to public capital markets. Simplifying the Path to Incorporation The Act significantly streamlined the company formation process, reducing bureaucratic hurdles and encouraging entrepreneurship. The introduction of the Memorandum of Incorporation (MOI) as a single governing document, replacing the previous dual system of Memorandum and Articles of Association, simplified company constitution. Moreover, the Act removed minimum share capital requirements, lowering the financial barrier to company formation. This simplification extends to the registration process itself. Prospective business owners can now register their companies with the Companies and Intellectual Property Commission (CIPC) through a more straightforward procedure. However, it's crucial to carefully consider the choice of company structure, as it impacts everything from tax obligations to reporting requirements and liability protection. Strengthening Corporate Governance Enhanced accountability is a cornerstone of the new Act. It places increased emphasis on director duties and liabilities, ensuring that those at the helm of companies are held to high standards of conduct. For certain companies, the Act mandates the appointment of a social and ethics committee, reflecting a growing focus on corporate social responsibility. The Act also introduces more rigorous financial reporting and disclosure requirements. Public companies, for instance, must now rotate their auditors periodically, a measure designed to maintain auditor independence and enhance financial transparency. A Lifeline for Struggling Businesses Recognising the challenges faced by businesses in a competitive economy, the Act introduces the concept of business rescue. This provision offers an alternative to liquidation for companies in financial distress, allowing for the appointment of a business rescue practitioner to oversee a restructuring of the business. This process includes a temporary moratorium on legal proceedings against the company, providing breathing room for the development and implementation of a turnaround strategy.   Empowering Shareholders Shareholder rights receive significant attention in the Act. It introduces "appraisal rights" for dissenting shareholders, allowing them to demand fair value for their shares in certain circumstances. The Act also enhances minority shareholder protection through improved access to company information and the ability to bring derivative actions on behalf of the company. Compliance: A Continuous Journey For business owners, compliance with the Companies Act is not a one-time event but an ongoing process. It begins with choosing the right company structure and extends through every aspect of business operations. Proper record-keeping is paramount. Companies must maintain accurate financial records, prepare annual financial statements, and keep statutory registers up to date. The Act requires companies to file annual returns with CIPC, a crucial step in maintaining good standing. Financial reporting standards vary depending on the company type. While public and state-owned companies must adhere to full International Financial Reporting Standards (IFRS), private companies and NPCs have the option of using IFRS for SMEs. Regardless of the standard used, ensuring the accuracy and timeliness of financial reporting is essential. Corporate governance extends beyond mere compliance. The King IV Code on Corporate Governance provides a framework for ethical and effective leadership. While not all of its principles are legally mandated, they represent best practices that can enhance a company's reputation and performance. The Broader Compliance Landscape While the Companies Act is central to corporate governance in South Africa, it's part of a broader regulatory ecosystem. Business owners must also navigate legislation such as the Employment Equity Act, the Broad-Based Black Economic Empowerment (B-BBEE) Act, the Consumer Protection Act, and the Protection of Personal Information Act (POPIA). Each of these laws brings its own compliance requirements. For instance, qualifying companies must implement affirmative action measures and submit annual employment equity reports. B-BBEE certification is crucial for companies seeking to do business with the government or large corporations. The Consumer Protection Act demands fair and transparent business practices, while POPIA requires robust data protection measures. Staying Ahead of the Curve In this complex regulatory environment, staying informed is crucial. Business owners should make a habit of monitoring updates from CIPC, attending industry seminars, and consulting regularly with legal and financial advisors. It's also wise to keep an eye on proposed amendments to the Companies Act and related legislation, as the regulatory landscape continues to evolve. In conclusion, the Companies Act of 2008 represents a significant modernization of South African corporate law. By simplifying company formation, enhancing corporate governance, and strengthening shareholder rights, it aims to create a more robust and competitive business environment. For business owners, understanding and complying with the Act is not just a legal necessity but a strategic imperative. Those who embrace its principles and integrate them into their business practices are well-positioned to thrive in South Africa's dynamic economy. In navigating this complex landscape, remember that compliance is not just about avoiding penalties; it's about building a sustainable, ethical, and successful business. By staying informed, implementing best practices, and seeking professional advice when needed, business owners can turn regulatory compliance from a challenge into a competitive advantage.
